1. What This Agreement Covers

This Bow Maker Subscription Agreement ("Subscription Agreement") governs the recurring subscription you purchase from California Bows, LLC ("Cheerbows," "we," "us") through the Cheerbows.com platform. It supplements — but does not replace — the Cheerbows Terms of Service ("Platform Terms"). In the event of a conflict regarding subscription- specific terms (auto-renewal, cancellation, billing, refund policy), this Subscription Agreement controls.

By initiating a subscription, you are entering into a recurring billing relationship. Please read this document before completing checkout. Your purchase confirms that you have read, understood, and agreed to the auto-renewal terms below.

2. Tiers and Pricing

Cheerbows offers two paid Bow Maker subscription tiers:

Bow Makers who are not subscribed to a paid tier remain on the Free tier and pay no Subscription Fee. The Free tier carries a higher Bid Amount commission rate; see the Platform Terms (Section 11) for the rate table.

Cheerbows may, at its sole discretion and on an individual basis, waive the Subscription Fee for specific users (for example, founding-class participants during a beta period, or partners with whom Cheerbows has a separate commercial arrangement). Such waivers are not a published tier, are personal to the recipient, and do not transfer with sale of business, assignment of account, or change of business name. Cheerbows may revoke any such waiver at its discretion on reasonable notice. This Subscription Agreement does not apply to users on a waived plan to the extent its terms relate specifically to billing or auto-renewal — there is no recurring charge to disclose for those users.

All prices are in United States dollars and are exclusive of any taxes that may apply.

3. Auto-Renewal Disclosure

AUTOMATIC RENEWAL — PLEASE READ CAREFULLY

• Your subscription automatically renews monthly until you cancel.
• The renewal charge will be the then-applicable monthly rate ($30 for Founder tier subscribers who maintain continuous active subscription; otherwise the Standard tier rate or any announced rate change).
• The renewal charge will be made to the payment method on file with Stripe on or about the same day of each calendar month, beginning one month after your initial subscription date.
• You may cancel at any time through the billing page on app.cheerbows.com/maker/billing, by clicking the Stripe Customer Portal link sent to you in your subscription confirmation email, or by emailing legal@cheerbows.com. Cancellation takes effect at the end of the current billing period; you retain access until the end of the period you already paid for. No partial-month refunds.
• We will email you a confirmation of each successful renewal to the email address on your account.

By initiating your subscription you affirm that you have read, understood, and agreed to this auto-renewal disclosure and that Cheerbows is authorized to charge your payment method on file each billing period until you cancel.

4. Billing Cycle and Payment

4.1 Cycle. Subscriptions are billed monthly, in advance, in U.S. dollars.

4.2 First charge. Your first charge is processed at the moment you complete the Stripe Checkout flow at subscription start. Your first billing period begins on that date.

4.3 Renewal charges. Subsequent monthly charges are processed automatically on or about the anniversary date of your subscription, using the payment method on file with Stripe.

4.4 Failed renewals. If a renewal charge fails (expired card, insufficient funds, etc.), Cheerbows and Stripe will attempt to collect for up to 14 days. During that time, your Bow Maker account remains active but you may receive payment-update prompts. If we cannot collect after 14 days, your subscription will lapse and your account drops to the Free tier, which carries higher Bid commission rates (see Section 7 below and Section 11.6 of the Platform Terms).

4.5 Taxes. You are responsible for any sales, use, VAT, or similar taxes that may apply to your subscription. We will collect such taxes where required by law and display them at checkout.

4.6 Payment processing. All subscription payments are processed by Stripe, Inc. under Stripe's Services Agreement. Cheerbows does not store full payment card numbers.

5. Founder Rate-for-Life-if-Continuous

If you subscribe under the Founder tier while the allocation is open, your $30/month rate is locked for as long as you maintain continuous active subscription:

• "Continuous" means no lapse in active subscription status — your payments must succeed each month, and you must not cancel and later re-subscribe.
• If your subscription lapses (failed payment that we cannot collect within 14 days; explicit cancellation followed by later re-subscription) and you later re-subscribe, you will be enrolled at the then-applicable Standard tier rate ($50/month or higher). The Founder rate does not "follow" you across a subscription gap.
• Cheerbows will not raise the Founder rate on existing continuous subscribers without their express consent.
• If Cheerbows discontinues the Founder tier offering to new subscribers, existing continuous Founder subscribers are unaffected.

This promise is contractual and benefits you so long as you keep your subscription active. It does not transfer with a sale of your business, assignment of your account, or a change of email/Stripe customer identity.

6. Cancellation

6.1 How to cancel. You may cancel at any time:

1. From the Billing page on app.cheerbows.com/maker/billing ("Cancel subscription" button)
2. From the Stripe Customer Portal link in your confirmation email (managed by Stripe)
3. By emailing legal@cheerbows.com with your account email and a clear cancellation request. We will process within 1 business day.

6.2 When cancellation takes effect. Cancellation takes effect at the end of the current billing period. You retain Founder / Standard tier benefits until the end of that period; no further charges will occur.

6.3 No partial-month refunds. The Subscription Fee for the current billing period is non-refundable. You retain access for the full period you paid for, but no prorated refund is issued for unused days.

6.4 Effect on in-flight Orders. Orders you have already won prior to cancellation continue at the commission rate snapshotted when those Orders were Awarded. Cancellation only affects new Bids submitted after cancellation takes effect — those bids will be evaluated at the Free-tier commission rate (10% of Bid Amount; see Platform Terms §11.6).

6.5 Re-subscription. You may re-subscribe at any time. If you were on Founder tier and your subscription lapsed, re-subscribing enrolls you at the Standard tier (see Section 5).

7. Tier Benefits and Commission Impact

7.1 Lower Bid commission. Founder and Standard subscribers have their Bid Amount commission set at 5% (vs. 10% for Free- tier Bow Makers). This rate is snapshotted on each Order at the moment of Award.

7.2 Other benefits. Paid-tier subscribers may receive additional Platform features at Cheerbows's discretion — see Platform Terms §11.7. These benefits are not contractual and may change with reasonable notice.

7.3 Designer commission rates. Subscription tier does not affect Designer commission rates (25% on Design License Fee; 10% on Custom Design Fee). Subscribing to a paid tier does not lower the platform's cut of Designer fees — see Platform Terms §11.6.

8. Changes to Pricing and This Agreement

8.1 New-subscriber pricing. Cheerbows may change the headline price of the Standard tier at any time for new subscribers. Existing Standard-tier subscribers will receive thirty (30) days' advance notice of any price change affecting them.

8.2 Founder-tier subscribers. As described in Section 5, the $30/month Founder rate is locked for the duration of continuous active subscription. Cheerbows will not raise the Founder rate on continuous subscribers.

8.3 Changes to this Agreement. Cheerbows may update this Subscription Agreement from time to time. We will email you thirty (30) days before any material change takes effect. Continued payment after the effective date constitutes acceptance. If you do not agree, cancel before the effective date and the changes will not apply to you.

9. Termination by Cheerbows

Cheerbows may suspend or terminate your subscription, with or without notice, for:

• Breach of the Platform Terms (including Sections 5, 7, 10)
• Non-payment (after the 14-day grace period in Section 4.4)
• Fraud, abuse, or charge-back activity on subscription or Order charges
• Account or business operating outside the Platform's jurisdictional scope (we currently support United States Bow Makers only; international Bow Makers will be added as Platform capability expands)

Termination for cause does not entitle you to a refund of the current period's Subscription Fee. Termination not for cause (e.g., Cheerbows discontinuing service) will be accompanied by a prorated refund of any prepaid amounts.

10. Governing Law and Dispute Resolution

This Subscription Agreement is governed by the laws of the State of California, without regard to conflict of laws principles. Disputes arising under this Subscription Agreement are subject to the same informal-resolution, arbitration, and class action waiver provisions set out in Section 17 of the Platform Terms (which are incorporated here by reference). You retain the 30-day arbitration opt-out described in Platform Terms §17.4.
